BY-LAWS FOR THE HACKERT LAKE ASSOCIATION 

ARTICLE I 
Name and Organization

Section 1.
This organization shall be known as the Hackert Lake Association, a nonprofit corporation of Amber Township, Mason County, Michigan.
Section 2. The fiscal year of this association shall be the calendar year July 1 to June 30.


ARTICLE II
Purposes

Section 1. This association shall promote the education of riparian property owners and other lake users about water quality and water safety.
Section 2. This association will support issues, which concern the welfare of the lake in general, including the conservation of the water supply in the lake, the quality of water safety for swimming and renewal of the fish resources.
Section 3. The association shall strive to improve the lines of communication between property owners.



ARTICLE III
Membership

Section 1. Membership in the association shall be open to riparian property owners on the lake, persons who own property with legal access to the lake.
Section 2. All Hackert Lake property owners, who pay the stated annual membership dues, shall be members of the association.
(A) Each paid member shall be entitled to cast two votes.
(B) Whenever the number of adult owners/occupants of any property shall exceed two, votes shall be limited to actual members in the association.
(C) The amount of yearly membership dues shall be set by vote of the Directors of the association.
Section 3. Each member of this association shall be equally privileged with all other members in voice and vote upon any policy or proposition presented for discussion or decision at any meeting of the members.
Section 4. The membership year is from January 1 to December 31 of each calendar year.
Section 5. The annual dues are payable to the treasurer on January 1 of each year.
Section 6. Any member who shall reflect discredit upon this association may be removed from the membership by a 2/3 vote of the entire membership of the Board of Directors. Written notice shall be mailed to the member 30 days prior to any action taken by the Board. A hearing before the Board shall be provided if requested by the member.


ARTICLE IV
Officers

Section 1. The officers of this association shall be a president, vice president, secretary and treasurer. They shall be elected by the majority vote of the membership attending the annual meeting, and shall hold office for the succeeding one year or until their successors are elected. They shall take office at the time of the annual meeting at which they are elected. They are eligible for re-election.
Section 2. Officers and Board of Directors shall serve without compensation.
Section 3. If the president is unable to serve, the vice president will assume the office of president. If other officers cannot serve, the president will fill the office by appointment with the concurrence of the Board of Directors.
Section 4. The president shall preside at all meetings of the Association and the Board of Directors, and shall cast the deciding vote in the case of a tie.
The vice president shall assist the president in the performance of his duties. In the absence of the president, the vice president shall preside at the meetings of the Association and perform all other duties of the president.
The secretary shall conduct all correspondence for the Association and the Board of Directors. The secretary shall keep the minutes of all meetings and maintain a clear record of the business of the Association and Board of Directors.
The treasurer shall receive all moneys paid to the Association and shall keep an accurate record of the members and their financial status in the Association, disburse such moneys as approved by the Board of Directors. All expenditures of the Association shall be by check from the Association's account. The treasurer shall make an oral report of the financial status of the Association at each meeting of the Association and of the Board of Directors and a written statement of cash receipts and disbursements shall be prepared annually, and made available to the membership at the annual meeting. All moneys paid to the Association shall be deposited by the treasurer in the bank account of the Association.


ARTICLE V 
Meetings

Section 1. The annual meeting of the Association shall be held in July of each year. The meeting to be held on the day set by the Board of Directors and due notice sent to each member.
Section 2. Special meetings of the membership may be called at the option of the president or when requested by any two members of the Board. Every member shall be notified of such meeting by regular United States mail at least 10 days prior to the time of the meeting.
Section 3. A quorum of the association shall be not less than 10% of the entire membership. Voting members shall register with the secretary of the Association immediately prior to any regular or special meeting.


ARTICLE VI 
The Board of Directors

Section 1. The Board of Directors shall consist of duly elected officers, the past president last holding office and at least three members elected at large from the membership. Members from the membership-at-large shall serve for a period of three years. Chairpersons of standing committees will also be part of the Board of Directors.
Section 2. The Board of Directors shall control the affairs of the Association and shall serve as the executive policy making group of the Association.


ARTICLE VII 
Committees

Section 1. All committees shall be appointed by the Board of Directors.
Section 2. Standing committees shall be: membership, social, health and water quality, lake use and safety,publicity, and liaison with government agencies.
Section 3. Ad hoc committees may be established as the need arises by the president or majority vote of the Board of Directors present at the meeting where such need is discussed.
Section 4. Standing committees shall present a written report at the Board of Directors meeting prior to the annual meeting.


ARTICLE VIII 
Order of Business

All meetings of the membership and the board of directors shall be as follows:
1. Call to order
2. Roll call of officers
3. Reading of the minutes
4. Report of officers
5. Report of standing committees
6. Report of ad hoc committees
7. Unfinished business
8. Election of officers
9. New business
10. Adjournment


ARTICLE IX 
Parliamentary Authority

The rules contained in the current edition of Roberts Rules of Order, Newly Revised, shall govern the Association in all cases to which they are applicable and in which they are not inconsistent with these by-laws and any special rules of order which the Association may adopt.


ARTICLE X
Amendments

Section 1.
(A) This constitution and the Association by-la ws may be amended at any annual meeting of the Association by the vote of two-thirds of the members present and entitled to vote provided such proposed amendment shall have been submitted and generally published ten days preceding the meeting.
(B) A proposed amendment may be presented at the regular meeting of the Association and voted upon at the annual meeting.
