BYLAWS OF THE WINDSOR HIGH SCHOOL BOOSTER CLUB

Article I

NAME

Section 1.01

The name of this organization shall be the WINDSOR HIGH SCHOOL BOOSTER CLUB, hereinafter referred to as WHS Boosters.

 

Article II

 

PURPOSE AND INTENT

Section 2.01

WHS Boosters is formed for the purpose of furthering the cause of students in the areas of ARTS, MUSIC, ACADEMICS AND ATHLETICS athletics at WHS. It shall be the intent of the organization to aid the high school athletic program by promoting school and community interests in all athletic activities. The WHS Boosters reserves the right to expand its support to other extra-curricular activities including academics, art and music AS THEY ARE DEVELOPED.

 

Article III

 

OFFICES

Section 3.01

The principal office of WHS Boosters and the transaction of its business is located in the Town of Windsor, County of Sonoma, State of California.

 

Article IV

MEMBERSHIP

Section 4.01

Membership in the WHS Boosters shall be open to any and all persons interested in supporting the athletic programS at WHS.

Section 4.02

Membership shall be accomplished by supplying the information as requested on the form provided by WHS Boosters, and by paying the fee for the year beginning in August. SEPTEMBER.

Section 4.03

Only members whose dues are currently paid or active officers shall be entitled to vote.

 

Article V

TERMINATION OF MEMBERSHIP

Section 5.01

Members who fail to pay dues as specified shall thereby terminate their membership.

Article VI

 

OFFICERS AND DUTIES

Section 6.01

The officers shall consist of President, Vice-President, Secretary, Treasurer and Membership Chairperson AND CONCESSION CHAIRPERSON.

Section 6.02

The duties of the President are:

To preside at all meetings and perform such other duties as may be necessary; to sign all formal correspondence relating to WHS Boosters; to cosign as required for all expenditure of WHS Boosters funds, to facilitate the communication between officers.

The duties of the Vice- President are:

To attend all WHS Booster meetings; to act as an assistant to the President, and to preside in his/her absence; to cosign as required for expenditure of WHS Boosters funds.

The duties of the Secretary are:

To record all subjects and discussions at the general WHS Boosters meetings and retain a file of the same in the form of minutes; to attend to correspondence as required; serving as Parliamentarian for the WHS Booster MEETINGS; to co-sign as required for expenditure of WHS Boosters funds.

The duties of the Treasurer are:

To receive any monies raised by the WHS Boosters, to account for income and expenditures of the WHS Boosters, to submit a summary statement of account at WHS Boosters meetings and to assist the president in preparing a yearly budget for the WHS Boosters. to co-sign as required for expenditure of WHS Boosters funds.

The duties of the WHS School Representative are:

To provide the board and general membership with the school calendar of athletic and other major events; to advise the board on matters concerning school policies (ie fundraising, security, facility use).

The duties of the Membership Chairperson are:

To keep an updated list of current members including address and phone numbers, to supply updated lists at the request of officers; to act as liaison between membership and board.

THE DUTIES OF THE CONCESSION CHAIRPERSON ARE:

TO COORDINATE THE OPERATION OF ALL SNACK BARS AT WINDSOR HIGH SCHOOL EVENTS: TO ENSURE ADEQUATE STAFFING IN THE SNACK BAR; TO PURCHASE THE FOOD & UTENSILS FOR THE OPERATION OF THE SNACK BAR; TO KEEP THE MEMBERSHIP INFORMED OF THE SNACK BAR OPERATION.

Article VII

 

GOVERNING BOARD AND ELECTION OF OFFICERS

Section 7.01

The Board of Directors for the WHS Boosters shall consist of President, Vice-President, Secretary, Treasurer, Membership Chairperson, CONCESSION CHAIRPERSON and School Representative.

Section 7.02

Members of the Board must be in good standing of the WHS Boosters.

Section 7.03

Officers shall be elected or appointed by the general membership of the WHS Boosters at the last WHS Booster meeting of the school year. The WHS Principal or his designee shall appoint the High School Representative. The officers shall serve a term of one year, said term to begin at the first meeting of the following school year.

Section 7.04

The Vice-President shall automatically succeed to the position of President in the event that the position is vacated during the school year.

Section 7.05

If any other position is vacated during the school year, a new officer shall be elected by majority vote at a regular WHS Boosters meeting. The officer representing the school shall be replaced by an appointment of the WHS Principal.

Article VIII

 

MEETINGS

Section 8.01

Meeting of the WHS Boosters shall be held on a regular basis as determined by the Board of Directors at the first meeting of the school year. The President as deemed necessary may call special meetings with at least 24 hours prior notice given to all Board members.

Section 8.02

A majority of the Board of Directors for the WHS Boosters must be present at a meeting before any official action involving the approval or expenditure of funds may be taken.

Section 8.03

The quorum of the Board shall be a simple majority.

Section 8.04

The Board of Directors shall meet at least once a month. Any member of the WHS Boosters can attend a board of Director meeting.

Section 8.05

Any issue put to vote of the general membership will be decided by a majority vote of those in attendance.

Article IX

 

FUNDS AND FUND RAISING

Section 9.01

The Board of Directors shall hold judicial power in determining qualification for and expenditure of the funds.

Section 9.02

Funds are to be used for the WHS athletics programs (OUTLINED IN SECTION 2.01), for financing fundraising events, purchasing supplies necessary for the operation of the WHS Boosters and for the publicizing of WHS Boosters related or sponsored activities.

Section 9.03

Measures voted upon shall be passed by a simple majority of those present.

Section 9.04

All checks must be signed by any two of the eligible co-signers.

Article X

 

EXPULSION AND SUSPENSION OF OFFICERS AND MEMBERS

Section 10.1

Any officer or member of the WHS Boosters may be expelled or suspended from membership for conduct detrimental to the name or welfare of the WHS Boosters, such expulsion or suspension working a vacancy in any office then held by such a member. Written charges shall be filed with the Board of Directors and signed by a member or members of the Board of Directors shall be set at which time the accused person shall have the opportunity to be heard in person or must voter in favor of expulsion or suspension by a 2/3 vote of the members thereof to make such action effective. The expelled or suspended member shall have the right to appeal such decision to the WHS Boosters as a whole and upon demand of such member make within ten days after notice of the vote of the Board of Directors. If the action of the Board of Directors is not sustained the accused shall be restored to all rights and privileges of membership. The accused shall have no vote at such general meeting but shall be given the opportunity to be head in his own defense or be representative and the Board of Directors may present such evidence as it sees fit in support of its actions.

Section 10.2

Any officer of the WHS Boosters may be suspended or expelled from his office for any of the following reasons: neglect of duties pertaining to his or her office or for conduct detrimental to the name or welfare of the WHS Boosters. The suspension or expulsion will work a vacancy in any such office. The procedures for such suspension or expulsion are identical to those set forth in Section 10.01 herof.

Article XI

 

TERMINATION OF ASSOCIATION

Section 11.01

Should the WHS Boosters be terminated or abolished for any reason whether by voluntary or involuntary action or by operation of law then all assets of the WHS Boosters of whatever type or character shall be distributed as follows and in the order of priority indicated.

First: Payment of all obligation, claims or liabilities against the Association except the claims of members of the WHS Boosters to a liquidation of dividend that unless these obligations are paid directly funds to satisfy these obligations shall be deposited in a banking institution to secure payment of these obligations.

Second: Any assets remaining after payment of obligation, as set out above shall be distributed to an organization for the promotion of the athletic program at WHS.

Article XII

 

AMEMENDMENTS

Section 12.01

General membership has right to propose amendments to these By-Laws. Amendments to these By-Laws must be presented at a general meeting of the WHS Boosters read thereat and carried by a two thirds (2/3) majority vote of the members present and voting.
