Saskatoon Literary Agency Agent/Client Agreement
The following shall constitute the agreement between us:
- I am the sole owner of the creative work or works entitled ______________ and wish to retain you as my literary agent in connection with the sale, license, or disposition thereof.
- I am free to enter into this agreement with you and am at present under no contract or obligation which in any way conflicts with our agreement.
- I hereby engage you to serve as my sole and exclusive agent in representing the sale, lease, licensing or other disposition of any and all rights in said work(s) for a period of six (6) months, beginning on the date of my signature. You agree to present the manuscript, proposal, or synopsis of said work(s) to selected trade publishing companies during this period and to negotiate on my behalf subsequent sales, leases, or licensure of work(s). I have the right to reject any offers and will be given reasonable opportunity to consider any and all offers. In consideration for your services, I agree to pay you a one-time agency marketing fee of two hundred dollars ($200.00) for six months of the aforementioned services. You agree that there will be no other fees or charges during the six month term of this agreement and that this two hundred dollar ($200.00) marketing fee shall be fully refunded to me in the event my literary work is sold. This refund shall accompany the first payment of proceeds from the publisher, whether in the form of an advance or royalty payment.
- In further consideration for your services hereunder, I agree to have paid directly to you all monies resulting from the sale, lease, or license of said work(s), and further agree that you shall deduct a sum equal to fifteen percent (15%) of all gross receipts earned or received whether during the term hereof or thereafter, and you agree to forward to me within ten days of the receipt thereof all remaining proceeds.
- It is understood that with respect to the sale, license, lease or other disposition of or dealing with the work(s) outside of the United States and Canada, in the English language or in foreign translations, you shall deduct a sum equal to twenty percent (20%) of the gross proceeds, it being understood that in the case of foreign sales you use a sub-agent. If you should use a sub-agent for the sale of film or television rights to the work(s), you shall deduct a sum equal to twenty percent (20%) of the gross proceeds, it being understood that you share the commission.
- It is understood that I will receive copies of all pertinent correspondence from publishers or other parties interested in the literary work(s), including but not limited to rejections and offers for purchase, lease, or license.
- Any notices that are required to be given hereunder, or that either of us may desire to give, shall be sent to me ___________ at ________________ and to your address hereinabove. Either of us may designate a different address by notice so sent.
- If any provision of this agreement is held void or unenforceable, the balance thereof shall remain in force.
- This agreement shall bind my heirs, executors, administrators, and assigns and will be interpreted according to Michigan law.
- This agreement sets forth our entire understanding and may not be altered or modified.
