Dear James,

Your letter of February 16, 1999 states that you feel that both First Health and Metromedia Restaurant Group (MRG) are not in compliance with certain ERISA requirements. You have also requested that I conduct a review of First Health's decision to deny certain of Dr. Moayad's claims from 1996 and 1997.

In response to these issues, I have taken the following steps. Regarding the first issue, I have asked Marshall Esler, our outside counsel who limits his practice to matters involving ERISA, to do a formal review of all of First Health's correspondence to you regarding this matter. I will also ask Mr. Esler to review the procedure that MRG has followed in the review of your claims and I will request that he expedite the preparation of this review. Mr. Esler is an attorney with over 12 years of experience handling ERISA case work for MRG and many other clients.

Regarding the second matter, MRG is in the process of arranging an independent medical review of your case. The physician under consideration to conduct the review is completely independent of First Health and has had no prior working relationship with MRG. The physician handles case reviews for INTRACORP, is a specialist in infectious diseases and has reviewed over 70 Lyme Disease cases in the last four years.

Based on both Mr. Esler's and the physician's findings, MRG will then determine whether any additional action is necessary.
