The
Buyer(s) agree(s) to a purchase price of $ _________.
The Seller
agrees to deliver the bitch/the dog to the Buyer(s) under the warranties,
Representations and conditions described in this Agreement of Sale and no
other warranties, representations and conditions exist either expressed or
implied:
1. The bitch/the
dog is a purebred Portuguese Water Dog registerable with the American
Kennel Club (AKC) under limited registration, which precludes breeding
registerable offspring.
2. The Buyer(s)
acknowledge(s) that they (he/she/they) (has/have) personally inspected the
bitch/the dog and that it is represented and fully satisfactory.
3. The Seller is
aware of no physical illness of the bitch/the dog. The Buyer(s) (is/are) free to have the
bitch/the dog inspected by a licensed veterinarian within 72 hours of the
purchase date, with the privilege of returning the bitch/the dog to the
Seller for a full refund within that time, if the veterinarian certifies in
writing that the dog is not physically sound.
4. If, for any
reason, the Buyer(s) decides(s) to sell the bitch/the dog the Buyer(s) is/are)
required, under the terms of this Agreement of Sale, to notify the Seller
immediately. The Seller maintains
the right of first refusal to re-acquire the bitch/the dog.
5. If, for any
reason, the buyer(s) decide(s) to transfer ownership or otherwise dispose
of the bitch/the dog, the buyer(s) (is/are) required, under the terms of
this Agreement of Sale, to notify the Seller immediately. The Seller maintains the right to require
return of the bitch/the dog, in good health, at the expense of the Buyer(s). In the event this clause is invoked, the
Buyer(s) forfeit(s) any and all rights to the bitch/the dog or any monetary
remuneration that may result from subsequent activities by the Seller to
place the bitch/the dog.
6. The Buyer(s)
agree(s) never to sell, give, or otherwise deliver the bitch/the dog to any
pet shop, pet farm, or similar institution.
7. The bitch/the
dog is being sold as a pet and, as such, the Buyer(s) agree(s) to spay the
bitch/neuter the dog, at the earliest opportunity, but in no case more than
one year from the date of birth. The
Buyer(s) must provide documentation written by the operating veterinarian,
reflecting successful completion of spaying/neutering, to the Seller.
8. The Buyer(s)
agree(s) to Canine Eye Registration Foundation (CERF) at one year of
age. The Buyer(s) further agree(s)
to repeat the CERF on the bitch/the dog every year and to notify the
Seller(s) of any abnormality.
9. The Buyer(s)
agree(s) to include the word “Baycliff” as the prefix of the name under which the bitch/the dog is
American Kennel Club (AKC) registered.
10. Should the Buyer(s)
abrogate the terms of this Agreement of Sale, in whole or in part, the
Buyer(s) agree(s) to pay the Seller an Additional sum equal to the full
stud fee that was charged for the bitch’s/the dog’s breeding or the
original full purchase price stated on page one of this agreement,
whichever is greater, in addition to all other costs incurred by the Seller
in enforcing the agreement.
11. The Seller is bound
by this agreement to the original Buyer(s) only. The State of Virginia will be the state of record for
any legal proceeding in reference to this Contract by either the Seller or
the Buyer(s).
12. No other
warranties or guarantees, expressed or implied, are made under this
contract except as stated herein.
13. This document
constitutes the entire agreement between the Seller and the Buyer(s) with
regard to the sale of the bitch/the dog.
The provisions of this document may be modified only by written
agreement co-signed by the Seller and the Buyer(s).
This agreement is made for the mutual benefit and
protection of the bitch/the dog, the Buyer(s) and the Seller.
