  1. Name :        The name of the Society shall be SOCIETY FOR EDUCATION, EMPOWERMENT AND DEVELOPMENT (hereinafter called "the Society").

  2. Office :        The office of the Society shall be at B/A/10 United Apartments, Maktampura, Sarkhej Highway. Ahmedabad -- 380 055. INDIA

  3. Service Area :        The area of activity for the Society shall be the whole of India.

  4. Objects :        The objects for which the Society is established are :

    1. To undertake all activities of Formal and non- Formal education for the development of the poor and in pursuance of this, start Balwadis, Anganwadis, Primary, Secondary, Higher Secondary and Non-Formal educational institutions.

    2. To encourage such activities that raise the standards of education and give priority to the spread of education and awareness.

    3. To run, provide assistance for running or support others who may be running, Anganwadis, Balwadis, Primary schools, Ashramshalas and such other institutions especially for children in rural and urban areas.

    4. To run Adult Literacy classes for the men and women and extend relevant schemes of the Government.

    5. To organize camps and encourage formation of women's' groups through popular media, for the development of women.

    6. To make available or produce educational material on cooperative or no-profit-no-loss basis and to write and publish books, develop educational material, start libraries and promote activities that are conducive to spread of education.

    7. To award scholarships and to collaborate, associate with and/or to secure participation from other educational institutions of repute for spread of education.

    8. To voice social concerns through organizing educational meets, camps, serving memorandums and such other activities.

    9. To help organize, run or arrange training programs for women to undertake cooperative action to start self-employment programs of small and cottage industries to assist them in their efforts to lead a life of self respect.

    10. To foster, organize and conduct camps and seminars for the youth to develop their creative potential.

    11. To organize, conduct and extend such activities run by the government that are to raise awareness among the youth, to spread education among them, to increase employment options for them, to bring social equality, to entertain and to maintain the cultural heritage and to extend such activities to the smallest of the small villages.

    12. To impart and to foster value-based education among the children who are the future of the nation, in a manner that they become responsible citizens and can lead a life of self-respect and organize to face any injustice.

    13. To foster, assist, organize, conduct and to collaborate, associate with and/or to secure assistance from other alike institutions/organizations for programs that are conducive to improvement of the environment.

    14. To identify the problems of health, especially of the children and women, on a priority basis and to start, assist or promote Primary Health Centers for ameliorating their sub-human conditions.

    15. To establish and run dispensaries and hospitals with financial assistance from institutions of public health.

    16. To develop and spread education programs that lay stress on matters of health and hygiene.

    17. To organize public meets, camps, publish literature and pamphlets to form public opinion on issues of health.

    18. To make all attempts for maintenance of health, ask for assistance from international organizations such as UNICEF and to extend them to the public, especially the poor.

    19. To promote and assist research that could lead to solutions to issues of social development.

    20. To take all assistance in terms of land and/or finance from the government or other agencies of social service to construct or assist in construction of houses for the poor and to take all measures possible for solving the problems of housing for the poor.

    21. To advise, guide, assist in running projects, evaluate and conduct/organize trainings for other voluntary organizations which have similar objectives.

    22. To assist, take assistance and collaborate with other organizations of similar objectives.

    23. To make all attempts that lead to awareness, exchange of ideas and solutions to issues of development.

    24. To call national and international experts for their advise, assistance and guidance in any activity of the Society in its areas of operation.

    25. To start or assist existing cooperatives and business houses that provide employment to the poor.

    26. To run and conduct eye camps, dental camps, health camps, free food distribution centers independently or in collaboration with other concerned individuals, groups or organizations for the public good.

    27. To accept and collect donations in cash and kind for activities of relief during natural calamities like floods, droughts, famines, earthquakes and other calamities.

    28. To promote, run and manage registered or unregistered organizations of the youth for fulfillment of all the above objectives especially that under section 4(xii).

    29. To undertake and/or support other organizations or groups undertaking activities of Khadi and Village Industries.

    30. To change any of the above objects, to do or cause to be done any act or thing provided such changes, things or acts be not contrary to or inconsistent with the spirit and principles of the laws under which this group has been organized and registered.

  5. Society's Management ;

    With a view to carry out the objectives of, to administer and to manage the Society the present, first Governing Body was appointed. Their names and addresses are as follows ;


    We, the several persons whose names are subscribed are desirous of being formed into a Society under the Societies Registration Act XXI of 1860 in pursuance of the Memorandum of Association wherewith is filed a copy certified in the manner prescribed by the said Act of the Rules and Regulations of the Society.

  1. Interpretation : In these Rules and Regulations unless there be anything in the context repugnant or inconsistent with :

  2. the Society shall mean the Society registered under the name of "SOCIETY FOR EDUCATION, EMPOWERMENT AND DEVELOPMENT" under the Societies Registration Act XXI of 1860.
    1. "Governing Board" shall mean the Governing Board Of the Society constituted as provide by these Rules and Regulations.
    2. "member" shall mean member admitted under the Rules and Regulations of the Society.

  3. Membership :

    1. A person desiring to be a member of the Society shall apply in writing to the Governing Board and, on his application being accepted by the Governing Board, shall be admitted to the Society as a member. The number of members shall not be less than seven. The member shall have to pay a life-time membership fee of Rs. 11/- (Eleven only).
    2. Every member of the Society shall be bound by the provisions of the Memorandum of Association of the society and these Rules and Regulations and by all the rules, regulations and decisions made from time to time by the Society in General Meeting or by the Governing Board.
    3. The Governing Board shall have the power to make, vary and repeal the Rules and Regulations for membership, from time to time.

    4. Membership of the Society shall ipso facto terminate if ;

      1. a member dies or leaves India permanently or
      2. completion of term
      3. tenders his/her resignation in writing to the Society, provided that such resignation is accepted by the Governing Board
      4. is no longer associated with the activities of the Society or the reasons for his acceptance as a member cease to exist, provided that in these cases the Governing Board decides so after giving the member a reasonable hearing.
      5. is convicted of an offense involving moral turpitude, or is declared by the court to be insolvent.

    5. In the event of any vacancy arising among the members of the Governing Board, the vacancy shall be filled by the remaining members from among the members of the Society and such members shall be the members of the Governing Board till the period of the Governing Board's tenure expires.


  4. Sources of Income :

    Society shall raise income from donations, gifts, funds, contributions, fees, charity shows, government assistance, grants, projects of national and international agencies, gifts in cash and kind from India or abroad. The property and income shall be utilized for managing and meeting the objects of the Society.

  5. Financial year of the Society shall be 1stApril to 31stMarch.

  6. Powers and Responsibilities of the General Body :

    1. General Body shall comprise members selected under Article 2 of the Rules and Regulations.
    2. meeting of the General Body shall be called every year within three months of completion of the Financial year
    3. the General Body shall elect members of the Governing Board every five years.
    4. to receive the Report of the Governing Board, the Accounts of the Society and the Auditors Reports for the year ending 31st March and pass the same by majority vote.
    5. to pass the Annual Budget presented by the Governing Board by majority vote and give the requisite permission to the Governing Board to spend accordingly.
    6. to change the Memorandum of Association and these Rules and Regulations in accordance with the Societies Registration Act XXI of 1860.
    7. to discuss all matters of concern and of general good to the Society.
    8. to call Extraordinary General Meetings of the Society in times of need and to execute works such as are within its powers.
    9. General Meeting of the Society can be called with a minimum notice period of 15 days, however a notice of seven days shall suffice to call an Extraordinary General Meeting.
    10. to appoint the Auditors for the year.
    11. at all the General Meetings all the members present shall have one vote, the President, however, will have a second or casting vote in case of an equality of votes.
    12. the Quorum for all General and Extraordinary General Meetings shall be the attendance of 1/5th of members. In event of lack of Quorum at the reconvened meeting, the members present shall form a Quorum and all bussiness shall be validly transacted.
    13. the Secretary shall call the General Meeting on advise of the President, however the Society can call an Extraordinary General Meeting on the request of 1/5th of members of the Society.
    14. to see that no activity of the Society goes against its object.

  7. Governing Board :

    The affairs of the Society shall be managed and administered by a Governing Board comprising not less than seven members. Of the members of the Governing Board one shall be President, one shall be Vice-President and one shall be the Secretary and the remaining will be members of the Governing Board. The subscribers to the Memorandum of Association shall be the first members of the Governing Board .
    The Governing Board will have the power to take its membership to a total of nine members.

    1. The term of the President shall be for ten years at the completion of which s/he can remain a member of the Governing Board.
    2. The term of the members of the Governing Board shall be of five years.
    3. A minimum presence of five members shall constitute a quorum for meetings of the Governing Board. Quorum shall not be required for meetings reconvened for lack of quorum.
    4. Governing Board shall meet at least once every six months, the notice for which shall be given seven days in advance
    5. Any member shall cease to a member of the Governing Board if s/he remains absent in three consecutive meetings. S/he shall be informed of such an eventuality.


  8. Powers and Responsibilities of the Governing Board

    1. To utilize the Society's property or money in full or part thereof for attaining any of the aforementioned objects of the society.
    2. To accept and execute other Societies which have the objects similar to this Society.
    3. To accept or give any donation, contribution either in cash or in kind, from and/or to any person on such terms which are in conformity with the objects of this Society and on conditions including the condition of associating the name of such person and for such purposes and such objects as are in conformity with objects of this Society as the Governing Board in their absolute discretion shall deem fit.
    4. To accumulate the income of the Society and to amalgamate the same with the corpus of the Society and any income of the Society not spent in a year unless otherwise determined by the Governing Board be deemed to be accumulated and saved in the bank in accordance with the prevailing law.
    5. To purchase, acquire, take on lease, or mortgage, land and immovable properties and to construct, build, repair, rejuvenate, rehabilitate and develop any immovable property for the purposes of the Society. To purchase, acquire, take on lease, any movable property including furniture, fixtures, books, conveyances for the purposes of the Society.
    6. To take or give on hire with or without charges any property for the purposes of the Society.
    7. To appoint Committees, Advisory Boards, Governing Body for any institution established, run and maintained by the Society.
    8. To open and operate accounts with Banks, individuals and to negotiate, endorse, cheques and other instruments for the management of the Society.
    9. To prosecute, sue and defend all actions of law, and to refer to arbitration and accept aware and to compromise or forego any claim by the Society.
    10. To lawfully borrow or raise money in the name of the Society which may be needed in times of emergency and to repay the same.
    11. To invest and/or retain the investment and properties received as donations either in the shape of shares or securities or immovable properties forming part of the Society Fund and to permit the same to remain in actual state of investment thereof so long as the Governing Board may think fit and at any time or times to sell, call in, or convert into money the aforesaid investments or any of them or any part thereof and with a power to change or vary any investments for the time being forming part of the Society Fund as may be authorized by law.
    12. To do all such things as are incidental or conducive to the attainment of the above purposes or acts.
    13. It shall be absolutely in the discretion of the Governing Board to decide from time to time as to for which objects and purposes specified in clause 4 of the Memorandum of Association hereof the entire corpus of the Society or net income of the society's property or portion or portions of either, shall be utilized, paid or spent by them and also to the terms, conditions, durations and the manners in which the same shall be so utilized paid or spent, subject however to the condition that the income or corpus of the Society shall be spent and applied exclusively for such objects and purposes only and in India and under the prevailing law of the land.
    14. However, the discretion or power hereby conferred on the members of the Governing Board shall be an absolute and uncontrolled discretion or power and no member shall be liable for any loss or damage accruing as a result of his/her concurring or refusing or failing to concur in exercising any such discretion or power.
    15. The member of the Governing Board or the member for the time being of this Society shall be respectively chargeable only for such moneys, stocks, funds and securities as they shall respectively actually receive, notwithstanding their respectively signing any receipts for the sake of conformity and shall be an answerable and accountable only for their own acts, receipts, neglects or defaults and not for the defaults by any bankers, or other person with whom any moneys or securities of the Society may be deposited, nor for insufficiency or deficiency of any stocks, funds or securities nor for any other loss unless the same shall happen through their own willful default respectively and also it shall be lawful for the member of the Governing Board or member for the time being of this Society to reimburse themselves or himself/herself or pay or discharge out of the Society Funds all expenses legitimately incurred by them/him/her for and on behalf of the Society.
    16. If any person, trust or institution at any time hereafter offers to add to the Society's Fund hereby settled whether by transfer of any immovable or movable property or of Government or other securities or payment of each in aid of any of the objects of the Society hereby established, it shall be lawful for the Governing Board to accept the same upon such terms and conditions not inconsistent with any objects of the Society hereby constituted as the said members of the Governing Board may determine, provided that in no case shall the name of the Society hereby created be altered in any manner whatsoever or its declared aims and objects departed from. And upon such receipt the same shall form part of the Society's Fund and the objects of the Society under clause 4 of the Memorandum of Association herein above shall apply accordingly.
    17. All securities and investments which may at any time be vested or belonging to the Society shall stand in joint name of the Trustees and/or in the name of any scheduled Bank or Banks.
    18. The members of the Governing Board shall open and maintain accounts in one or more scheduled Banks in the name of the said Society. All moneys received by the members of the Governing Board on account of the said Society's fund shall be deposited forthwith on receipt thereof to the credit of such account provided that the members may retain in their hands such sums as are decided from time to time by the Governing Board for current expenses. Such accounts shall be maintained by any two of the members of the Governing Board for the time being.
    19. The Governing Board shall also have the authority to deposit the title deeds and/or the securities of the Society's property with any Bank or in safe deposit vaults or where they may deem proper and to authorize any Bank or Banks to collect the income thereof and to pay such commission or remuneration to such Bank or Banks for safe custody or collection as may be agreed to.
    20. The Governing Board shall have power to employ person or persons on such terms as to remuneration or otherwise as they may deem proper and to discharge, reappoint any one of them as to pay their wages, salaries or other remuneration out of the income or funds of the Society.

  9. Powers of the Office Holders :

    President

    1. To see to the general direction of the Society and preferably be present in all meetings of the Governing Board.
    2. To decide the agenda and also call the General Meetings and Extraordinary General Meetings of the Society.
    3. To guide and advise on issues of concern for the Society and its activities.


    Secretary

    1. To prepare the agenda, with permission and on advise of the President, for General Meetings, Extraordinary General Meetings of the Society.
    2. Keep minutes of all the meetings in the Resolution Book of the Society.
    3. To implement the advises and the resolutions of the meetings and undertake all the relevant correspondence.
    4. To prepare the Annual Financial Statement and the Budget to be presented in the meetings of the Governing Board.
    5. To forward the bills of expenditure, in accordance with the approved Budget, to the president for his/her approval.
    6. All other work relevant to the Society and delegated to him/her by the President.

  10. Financial Transactions

    1. Properties both movable and immovable and all securities belonging to the Society shall be under the ownership of the Society and no member at any time can lay any claim to it/them. The Governing Board shall also have the power to make, vary and repeal Rules and Regulations for financial transactions and regulation of the business and affairs of the Society and itself, from time to time. All the accounts of the Society shall be maintained in recognized Banks.
    2. The Society can raise loans for fulfilling its objects by exchanging, mortgaging or gifting its property both movable or immovable under the prevalent law of the land especially the Bombay Trust Act 1950.

  11. Amendments

    1. changes in the Rules and Regulations or the Memorandum of Association of the Society can be done by a majority of not less than the 3/5th of its members in accordance with the Societies Registration Act 1860.


  12. Dissolution of the Society

    Should the dissolution of this Society be found necessary from whatever cause, if any property or assets remain over after the satisfaction of its debts and liabilities, the same shall be given to some other Society with similar objects or shall be transferred to any Society recognized by the Khadi and Village Industries' Commission at the state or district level, which shall be determined by 3/4
    th of the members of the Society in the General Body Meeting. Prior permission of the Charity Commissioner shall be sought before any such transfer.
    Signed by all the above members on this day the twentieth of September nineteen hundred and ninety-five.
