    BY-LAWS 

As Approved - November 2004

 

ARTICLE I

Name and Nature of Corporation

    The name of the corporation is NORTHERN NEW MEXICO SENIOR MEN’S GOLF ASSOCIATION, and it has been incorporated in New Mexico as a Not For Profit Corporation.

ARTICLE II

PURPOSE

    The purpose of the Association is to promote friendship, pleasure, recreation, social events, sponsorship of golf tournaments for members only, and any other activities in connection with the game of golf as the Association may determine.

ARTICLE III

MEMBERSHIP

Membership is open to males who have attained the age of 55, have amateur status and who primarily reside within the following boundaries, or who meet the exception:

1.                  East and West:

As defined by the East and West state lines of New Mexico and Colorado.

2.                  South:

All counties in New Mexico, with all or a portion of their area, north of Interstate 40, EXCLUDING Bernalillo County.

3.                  North:

That area of Southern Colorado that extends to approximately 50 miles North of U.S. Highway 160.

4.                  Exception

An individual residing outside the above boundaries will be offered membership providing he receives a majority vote of the Board.

5.                  Members who move outside the boundaries may retain their membership in the NNMSMGA.   

ARTICLE IV

OFFICERS

    The officers of the Association shall be:

A.     President

B.     Vice-President

C.     Secretary/Treasurer

D.  The Executive Director shall serve as Assistant Secretary to the Board

Officers shall be elected by the Board of Directors. An Officer shall be, at the time of election, a member of the Board of Directors. Officers will serve for a term of one (1) year, commencing on November 1st following their election.

    In the event of a vacancy, the Board of Directors shall elect a successor to serve for the remainder of the term.

ARTICLE V

BOARD OF DIRECTORS

The Board of Directors shall consist of not less than (8) nor more than fourteen (14) members. The term of office of each Director shall be for a period of three (3) years and shall commence the 1st of November next following his election. A Director may serve only two (2) consecutive elected terms. A Director who has served two consecutive terms may be elected to another term after he has been absent from the Board for a period of one year. The Directors shall be elected from and by the membership. Candidates for the Board of Directors shall be selected by a Nominating Committee appointed by the President and shall also be approved by the Board of Directors. The Immediate Past President will continue to serve on the Board for the year following his Presidency. A member may become a candidate for a position on the Board of Directors by securing a petition, favoring his candidacy, signed by at least 25 percent (25%) of the members of the Association, provided that such petition is filed with the Secretary no later than twenty (20) days prior to election. The candidates will be elected at the annual meeting by the membership. The Board of Directors may appoint a Director to fill the remainder of any term vacancy caused by resignation or death of a Director, and may appoint a Director for a term of one, two, or three years, providing the appointment does not increase the Board to more than fourteen (14) members.

ARTICLE VI

ANNUAL DUES

Annual dues and initiation fee shall be determined by the Board of Directors. Any member whose dues remain unpaid as of March 15th shall be dropped from membership in the association.

ARTICLE VII

DUTIES

1.        The President shall preside at all meetings of the Association. He shall appoint all committee chairmen, subject to approval of the Board.

2.        The Vice-President shall assume the duties of the President during periods of absence or incapacitation  of the President.

3.        The Secretary shall keep accurate records of the proceedings of the Association.

4.        The Treasurer shall collect all monies owed the Association and shall maintain an accurate accounting of all transactions and expenditures. A financial report shall be provided  monthly to the Board of Directors. Any checks drawn on the Association shall be issued over the signature of the President, Treasurer or Executive Director.  The Treasurer need not be bonded.

5.        The duties of the Secretary and/or the Treasurer may be delegated

6.        The Board of Directors may employ an Executive Director to whom duties of various officers and committees may be delegated. The Executive Director’s duties and assignments will be contained in a “Job Description” document. Compensation shall be as determined annually by the Board of Directors. The Executive Director shall receive an annual evaluation by the Board of Directors. The financial records of the Association kept by the Executive Director shall be reviewed annually by a Committee of the Board.

ARTICLE VIII

COMPENSATION

Officers, Directors and Committee Chairmen may be paid such compensation as shall be authorized by the Board of Directors.

ARTICLE IX

COMMITTEES

The Board of Directors may establish such committees as it deems advisable and provide for the appointment of the committee members.

ARTICLE X

QUORUM

Fifty percent (50%) of the membership of the Board of Directors shall constitute a quorum for the purpose of conducting the business of the Association.

ARTICLE XI

DISCIPLINE

The President or any other Officer, with the approval of The Board of Directors shall have the authority to reprimand, suspend or expel any member for just cause or for having violated the ethical conduct of golfers on the golf course with respect to golf play.

ARTICLE XII

AMENDMENTS

These BY-Laws may be amended by the Board of Directors, provided that fifteen (15) days notice of the proposed amendment(s) has been given to the membership of the Association.

NEW RULES 2006

USGA New Decision 14-3/0.5 allows a Committee to permit the use of distance-measuring devices by Local Rule. This applies to devices that measure distance only, not any other conditions that might affect a player’s play (e.g., wind or gradient).

On February 1, 2006 the NNMSMGA Board approved the use of these devices during their tournaments.


On February 1, 2006 the NNMSMGA Board stated that the Open Flight for each tournament would consist of those players with a handicap index of 9.9 or lower and players who request to be placed in the Open Flight.  All players requesting to be placed in the Open Flight will have their handicap calculated using a Handicap Index of 9.9.
