THE MICROCOMPUTER USERS GROUP BY-LAWS
ARTICLE 1: NAME
a. The name of this organization shall be “The Microcomputer Users Group”, which shall be known by the acronym TMUG.
ARTICLE 2: PURPOSE AND POLICY
a. The purpose of this Users Group is to promote education and an exchange of information concerning the uses of personal computers.
b. The objectives of the Group are to assist each other in the understanding of computer technology, to help resolve problems that might arise during use of their systems, and to promote the use of computers in general.
ARTICLE 3: MEMBERSHIP
a. Membership shall be open to anyone interested in the purposes and objectives of this
users group.
b. There shall be no limit to the number of members.
c. New members shall be made aware of the existence of these by-laws and their availability.
d. Financial records of TMUG are available for review by any member by request.
ARTICLE 4: DUES
a. Dues will be paid annually, the amount to be set by the Board of Directors. Initial dues are payable upon application for membership, and include the immediate family (definition: parents and children ( under 18 years of age ). Memberships are for a one year period, subsequent payments are to be made upon renewal. No penalties may be made for non-payment periods.
ARTICLE 5: OFFICERS
Section 1:
a. The elected chairs (4-officers) shall be:
President, Vice President, Secretary and Treasurer.
b. The President may appoint (or call for volunteers) for additional sub-chairs, as he/she deems necessary.
Section 2:
a. The Board of Directors shall consist of the four elected chairs and six members selected by the membership (ref. Article 7).
b. The duty of the Board is to direct operations of TMUG in a business-like manner.
c. The board shall meet monthly.
d. Additional Board meetings may be called by the President or consensus of any three Board members concerning a specific agenda.
e. The Board must approve expenditures over $300.00.
ARTICLE 6 DUTIES OF OFFICERS
Section 1: President
a. Preside at all TMUG Meetings.
b. Be ex-officio member of all committees.
c. Appoint, and provide guidance to all committee chairpersons.
d. Organize and direct the program for all meetings. Programs are defined as seminars, classes, software/hardware demonstrations, or speakers.
Section 2: Vice President
a. Render assistance to the President in matters pertaining to TMUG.
b. Assume the duties of the President, due to absence or inability to serve.
Section 3: Secretary
a. Keep an accurate record of all regular meetings of TMUG.
b. Maintain all TMUG documents.
Section 4: Treasurer
a. Receive moneys of TMUG.
b. Keep accurate records of receipts and expenditures. Provide an annual statement of receipts/expenditures to the Board of Directors.
c. Pay out funds as authorized by the Board of Directors.
Section 5: Directors
a. Attend Board of Directors meetings; offer advice pertaining to TMUG business; and assist TMUG officers with various activities, upon request.
ARTICLE 7 ELECTION OF OFFICERS
Section 1:
a. The President shall arrange for an election committee at the October regular meeting. The election committee shall put together a slate of candidates to be published in the November issue of the TMUG Newsletter.
b. The President shall introduce the slate of candidates at the regular December meeting. If there are no opposing candidates, the slate may be accepted by member motion and seconded. This motion will consider only those candidates that are unopposed. Should there be opposing candidates for any office, the President may select one of the following methods for resolution;
...a show of members hands during the meeting to determine the candidate of choice.
...a ballot for the position in question to be passed out. and voted on .
c. The new slate will be announced in the December TMUG Newsletter. The officers will assume their duties at the New Year.
ARTICLE 8 MEETINGS
Section 1:
a. Regular meetings will be held monthly at a time and place designated by TMUG.
b. The need for a special meeting may be brought by any member before the board for consideration.
ARTICLE 9 PROPERTY
Section1:
a. All hardware (computers, printers, projectors, monitors, etc.), which are recognized and determined by the Board of Directors as “ owned by TMUG “ shall be maintained in the general custody of the President and his/her designators.
b. Such material may not be used for other than the general meetings without the prior specific approval of the Board of Directors. The equipment use by presenters at the meetings is permitted under the direction of the President.
c. Disposal of all such material is by decision of the Board of Directors.
