LAST WILL and TESTAMENT

OF

Lillian Dickerson Watson

I, Lillian Dickerson Watson, having established legal domicile in the City of Pompano Beach, County of Broward, State of Florida, being of sound and disposing mind and memory and understanding, do hereby make, publish and declare this instrutment to be my LAST WILL and TESTAMENT, hereby revoking any and all Wills and Codicils heretofore made by me.

ONE

I, without the intention of making my creditors devisees, order and direct my Personal Representive to pay all my legal debts and funeral expenses, but not from exempt property, as soon as conveniently may be done after my demise.

TWO

I devise my entire estate, real, personel or mixed, where ever situated, of which I may die, seized or possessed, or to which I am, maybe or may become in anyway entitled or have any interest at the time of my demise in the following manner: equally to my 2 (two) sons.

A. If he survives me, I devise one-half (1/2) of my estate to my son, John Robert Watson, presently of Pompano Beach, Florida.

and

B. If he survives me, I devise one-half (1/2) of my estate to my son, Louis Richard Watson, Jr, presently of Ft Myers, Florida.

and

C. If both my sons above perdecease me, then my entire estate, I devise, to my grandchildern: David Allen Watson (grandson). James Watson (grandson) and Carol Ann Watson (granddaughter) - equally or to the survivor of them.

THREE

I hereby nominate and appoint my son, Louis Richard; Watson, Jr as Personal Representative, settelor, trustee of this, my LAST WILL and TESTAMENT. In the event of his death or refusal to act as such, then I nominate and appoint my son, John Robert Watson, as first (1st) Alternate Personal Representative. In the event of his death or refusal to act as such, then I nominate and appoint my grandson, David Allen Watson, as second (2nd) Alternate Personal Representative.

It is my wish that both sons are to make decisions together and their wifes are not to be brought in on the decisions.

I direct that neither of the above named persons be required to give any bond or other surety for the performace of the duties of such office.

I hereby empower my Personal Representive to sell at public or private sale, whenever he deems it desirable in the interests of my estate, for cash or upon credit, and to mortage, lease, exchange, transfer, convey or otherwise dispose of, or encumber, all or any part of my property, real or personal, for a price which in the discretion of my Personal Representative seems adequate. All powers, directions and authorizations made to my orginal Personal Representative shall extend to his successors.

IN WITNESS WHEREOF. I have to this, my LAST WILL and TESTAMENT, consisting of four (4) pages, including the attestation thereof, subscribed my name this fourteenth day of February, in the year of our Lord Two-Thousand and Two (2002), and for the purpose of identification, have also signed my name on the bottom of the foregoing and following pages of this, my LAST WILL and TESTATMENT.

We, Lillian Dickerson Watson, , and , the Testatrix and witnesses, respectively, whose names are signed to the attached or forgoing instrument, having been sworn, declared to the undersigned officer that the Testatrix, in the presence of witnesses, signed the instrument as her LAST WILL and TESTATMENT, that she signed, and that each of the witnesses, in the presence of the Testatrix and in the presence of each other, signed the WILL as a witness.
