Our Constitution

OBJECTIVES
  1. To foster, promote, encourage, control, regulate and supervise athletics in the greater Fairfield Area.
  2. To affiliate with the Waikato and New Zealand Childrens Athletic Committees for the promotion of childrens athletics and abide by the rules laid down.
  3. To receive annual reports and audited financial statements.
UNIFORM

The Club uniform and colours shall be formulated by the Committee and approved in principle by Athletics Waikato and finally fully approved at the Annual General Meeting.

MEMBERSHIP
  1. Is offered to all persons interested in the furtherance of athletics as follows:
    1. Competing athletes 3 years and over.
    2. Non competing persons 16 years and over.
  2. Life Membership is given without fees and these members have no voting rights at Committee meetings, unless they have been elected to the Committee of the Club, at which time full voting rights will be restored while serving as Committee members.
LIFE MEMBERSHIP

Life membership is given without fees to persons who have given meritorious service to the club and must be recommended by the Executive Committee and then agreed by 75% of those members eligible to vote at an Annual General Meeting.

SUBSCRIPTIONS
  1. Competing athletes. Fees as set at the Annual General Meeting plus any other affiliation fees as set from time to time.
  2. Non competing person. Fees as set at the Annual General Meeting , except where they have a registered financial competing athlete in their immediate family, then no fees shall be paid.
  3. Shall be paid by the 1st of November of each year.
ANNUAL GENERAL MEETING

Shall be held within one month of the end of the summer track season, at a time and place to be fixed by the President, or in his or her absence or inability, the Executive, for the purpose of:
  1. receiving the annual report and statement of accounts for the year ending 31st of March.
  2. Electing Executive Committee for the ensuring year:
    Patron Treasurer
    President Club Captain
    Vice-President Delegates
    Secretary Trustees
  3. other General Committee members may be elected at this meeting, or by the executive Committee at a later date.
  4. deciding on any resolutions recommended to the meeting by the Executive Committee.
  5. appointment of Auditor
SPECIAL GENERAL MEETING

The President, or in his absence or inability, any member of the Executive Committee, may at any time for any special purpose, call a Special Meeting and shall do so forthwith upon the requisition in writing of any ten(10) members stating the purpose for which the meeting is required.

VOTING

Person eligible to vote at Annual General Meetings and Special General Meetings must be 16 years of age and over and:
  1. be an immediate family member of a registered and financial child of the club
  2. financial non competing member.
NOTICE OF MEETINGS

Seven clear days before a Special General Meeting or fourteen clear days before the Annual General Meeting, an appropriate advertisement in a newspaper circulating in the district, shall indicate details of the meeting and business, and that no business other than that of which the notice has been given shall be brought forward at such meeting.

QUORUMS

The quorum for an Annual General Meeting or a Special General Meeting shall be a minimum of 8 financial members. In the event of a tie in voting, the President or Chairman may have a casting vote as well as a deliberate vote.

EXECUTIVE COMMITTEE

Shall consist of Patron, President, Vice-President, Secretary, Treasurer, Club Captain, Delegates and Trustees.

GENERAL COMMITTE

Shall consist of Starter, Chief Judge, Handicapper, Publicity Officer, Coach and other interested members. The Committee shall have the power to co-opt suitable persons to assist in various capacities.

DELEGATES

Shall represent the Club at Waikato Childrens Committee and other Athletic Waikato Management Committees.

PAYMENT TO MEMBERS (Pecuniary Profit)

No member or person associated with a member of the organisation shall derive any income, benefit or advantage from the organisation where they can materially influence the payment of the income, benefit or advantage.
Except that where income, benefit or advantage is derived from:

  1. Professional services to the organisation rendered in the course of business, charged at no greater rate than current market rates, or
  2. Interest or money lent at no greater rate than current market rates.
TRUSTEES AND WINDING UP

Should the Club go into recess, the Club's affairs and assets shall be held for a period of two years by three appointed Trustees duly elected at the Annual General Meeting and a letter to be sent to Athletics Waikato notifying them of the Club's recess and the appointed Trustees. After the two year period and if the Club has not restarted the Club shall be wound up and all the affairs and assets are to be handed over to Athletics Waikato to be used for the benefit of childrens athletics.

AMENDMENTS TO CONSTITUTION

Any amendments to this Constitution shall only be made at an Annual General Meeting or Special General Meeting. No additions to or alteration of the Pecuniary Profit Clause or the Winding up Clause shall be approved without the Inland Revenue Department's approval.

THIS CONSTITUTION WAS ADOPTED AT A SPECIAL GENERAL MEETING OF THE FAIRFIELD AMATEUR ATHLETIC CLUB HELD AT 36 ELMWOOD CRESCENT, HAMILTON ON 29TH JUNE 1993, COMMENCING AT 7.30 P.M.
