By-Laws

ARTICLE 1

The name of this chapter shall be known as the CENTRAL MINNESOTA TWO-CYLINDER CLUB, formed under the jurisdiction of Two-Cylinder Worldwide.

ARTICLE 2, PURPOSE

The purpose of this chapter is to promote the interest of the public in the preservation and restoration of antique tractors, particularly the John Deere two-cylinder models, their accessories, lore and literature.

ARTICLE 3, MEMBERS

Section 1. QUALIFICATION FOR MEMBERSHIP

Members in good standing of Two-Cylinder Worldwide may become members of this chapter. They shall be designated as Active Members. Spouses of Active Members in good standing of Two-Cylinder Worldwide and members of this chapter, shall be granted membership status and shall have all rights of Active Members except they shall not receive copies of Two-Cylinder magazine without their own subscription, and their membership status shall continue only as long as their spouses are Active Members. Parents of younger Active Members shall have the same membership privileges as spouses as listed above.

Section 2. DUES OF MEMBERS:

The amount of annual dues for chapter members, or an increase in dues, shall be set by a majority vote of Active Members at any regular membership meeting.

Section 3. TERMINATION OF MEMBERSHIP:

The membership of any chapter member may be recommended for termination by majority vote of the chapter board, after an appropriate hearing for conduct unbecoming a member of Two-Cylinder Worldwide. A majority vote of Active Members at any regularly constituted meeting may terminate the membership of any member(s) who become ineligible for membership, or may suspend or expel any member(s) who are default in payment of dues or assessments.

Section 4. RESIGNATION OF MEMBERSHIP:

Any chapter member may resign by tendering their resignation in writing to the chapter board, but such resignation shall not relieve the member from payment of any dues which may be in arrears, or any other charges or assessments.

ARTICLE 4, MEETINGS OF MEMBERS

Chapter members shall hold at least one meeting annually for the transaction of the business of the chapter. The purpose of said meeting shall be the reporting of the previous year's activities, discussion and vote upon any business properly to become before the general membership, make such awards as maybe called for or prescribed by the chapter, report upon the results of elections, and the installation of such new officers and directors. Each such annual meeting shall be conducted by the Chapter President in office for the year immediately passed, and just prior to the conclusion of the such meeting, the outgoing President shall conduct the installation of newly elected officers and directors and at the conclusion of the installation ceremony, turn the meeting over to the newly elected officers. Special meetings of the chapter members may be called, from time-to-time, either by the Chapter President, the Board of Directors, or not less than one-tenth (1/10) of the chapter members having voting rights. Place and date of any and all meetings shall be designated by the chapter board. Regular meetings shall be announced in any available local media (radio or newspaper announcements). Special meetings called must include written notice to all active members as to place, date, and time of the special chapter meeting. This written notice shall be either personally delivered or mailed (deposited in the United States mail) to each active member at the address as it appears in the chapter records.

ARTICLE 5, QUORUM

The chapter members holding one-tenth (1/10) of the vote which may be cast at any meeting shall constitute a quorum at such meetings. If a quorum is not present at any meetings of chapter members, a majority of the members present may adjourn the meeting from time-to-time without further notice.

ARTICLE 6, BOARD OF DIRECTORS

Section 1. POWERS:

The affairs of the chapter shall be managed by its Board of Directors. The Board of Directors shall perform such duties as stated in these by-laws.

Section 2. NUMBER AND TENURE:

The number of directors shall be not more than 7 members (active members). These directors may serve two consecutive terms.

Section 3. ELECTION OF DIRECTORS:

The board of directors shall be elected at the annual meeting. The board of directors shall consist of active members attending not less than three consecutive meetings, and a board member shall be dropped from the board when they are absent from three consecutive meetings.

Section 4. VACANCIES:

Any vacancy occurring on the chapter board of directors shall be filled by vote of the remaining directors, the director so elected to serve for the unexpired term of the vacant director.

Section 5. COMPENSATION:

Chapter members making up the board of directors as such shall not receive any stated salaries of compensation from the chapter for their service.

ARTICLE 7, OFFICERS

Section 1. OFFICES TO BE FILLED

The officers of the chapter shall be a President, a Vice-President, a Secretary, a Treasurer, a Newsletter Editor, a Sergeant at Arms, and a Historian/TWO-CYLINDER Correspondent. The offices of Secretary and Treasurer may be held by the same person. Additional offices may be created by the board of directors as the need thereof may arise.

Section 2. ELECTION AND TERM OF OFFICE:

The officers shall be elected by the active members at the annual meeting. The term of office for every and all offices shall be for a period of one year. A vacancy in any office shall be filled by the board of directors. The officers may serve two consecutive terms.

(a) President: The chapter president shall preside at all meetings of the chapter members and of the chapter board. In his absence, the Vice-President or any duly elected member of the board of directors (in the event that both the chapter president and vice-president are absent) may be designated as a temporary chairman to preside at any such meeting. The president shall be the principal executive officer of the chapter and shall be general supervisor and control all of the business and affairs of the chapter.

(b) Vice-President: The chapter vice-president shall, in the absence of the chapter president, or in the event of inability or refusal of the president to act, perform all stated duties of the office of chapter president and when so acting, shall have all powers of and be subject to all the restrictions placed on the office of president. The vice-president shall perform other duties as from time-to-time may be assigned by the chapter president or by the chapter board of directors.

(c) Secretary: The chapter secretary shall handle all official correspondence of the chapter and shall keep minutes of the meeting of the chapter members and of the chapter board of directors. The media to be contacted prior to meetings and events.

(d) Treasurer: The chapter treasurer shall manage the financial affairs of the chapter and shall be custodian of its funds. The membership log shall be maintained.

(e) Historian/TWO-CYLINDER Correspondent: The historian shall maintain records of all club activities that are published in local or national publications. This can be in scrapbook form or a suitable filing system. Whichever system is adopted, commonality should be maintained as the office is passed from year to year. The historian shall report regularly, and normally at least every (60) days, to the chapter editor of Two-Cylinder (official publication of Two-Cylinder Clubs Worldwide) all matters of interest with respect to chapter activities and news of chapter members.

(f) Newsletter Editor: The newsletter editor shall be in charge of compiling and publishing the chapter's monthly newsletter.

(g) Sergeant at Arms: The sergeant at arms shall maintain the membership log at meetings and events and encourage visitors to join the club.

ARTICLE 8, COMMITTEES

The chapter president or the chapter board of directors may appoint such standing of special committees from time-to-time as may be required to suit the best interests and needs of the chapter members and chapter activities.

ARTICLE 9, RELATIONS WITH TWO-CYLINDER WORLDWIDE

The affairs of this chapter shall be conducted at all times in such a manner as to coincide with the purposes, aims, and the by-laws of Two-Cylinder Club Worldwide. No chapter member, chapter officer, or chapter director shall act in the name of Two-Cylinder Worldwide or be deemed as it's agents in any manner whatsoever unless specifically authorized to so act by the affirmative vote of the board of directors of Two-Cylinder Worldwide shall have the right for good cause shown and/or upon failure of the chapter or chapter members to comply with the by-laws of Two-Cylinder Worldwide to revoke the chapter certificate issued by Two-Cylinder Worldwide pursuant hereof.

ARTICLE 10, CHAPTER MEETS

The chapter shall hold such local antique two-cylinder tractor meets each year as shall be determined by the chapter board of directors, and shall be required to sponsor and conduct such regional meets as may be required of the chapter by the board of directors of Two-Cylinder Worldwide.

ARTICLE 11, AMMENDMENTS TO THE BY-LAWS

These chapter by-laws may be amended from time-to-time subject to the majority of the board of directors of Two-Cylinder Worldwide, who shall be duly notified of an and all contemplated amendments. Amendments may be originated by a majority vote of the chapter board of directors at any regular or special meeting provided that at least two (2) days written notice is given to alter, amend, repeal, or to adopt new by-laws at such meeting. Further, all such alterations, amendments, repeals, or adoptions shall, in addition to the approval of the board of directors of Two-Cylinder Worldwide, be subject to the majority approval of the active chapter membership entitled to voting status at such chapter meetings duly called at least ten (10) days written notice which properly states place, day and hour of such meeting.

ARTICLE 12, PROCEDURES

All manner of chapter business, meeting, activity, and procedure shall be guided according to the concepts, principles, and premises of "Roberts Rules of Order, Revised."
