the ancient art of Market Matching Capital The CIR Unlisted Capital Market is a special capital market for non listed enterprises ("Sellers") seeking Investor exposure and for the Investors ("Buyers") seeking new worthwile investments which may have high yield prospects or potential. The nature of the Market is Buyer/Seller matching of deals, securities, business on a private placement basis between the interested parties. Settlements generally conducted by a Venture Capitalist or Banker on the OTC method (Over the Counter) for the Syndicates. Buyers/Sellers will most likely need the services of a Market Operator such as a Market Maker ("Primary Adviser") or specialist independent Consultants ("Advisers") who conduct the exposure process 'On Market' or the negotiation process 'Off Market'. Markets in themselves do not conduct trading hence the reason why a Primary Adviser is generally required such as CIR, being a Market Maker to create Investor activity. CIR has the capacity to stimulate Investor interest in your project. Registered Enterprises have the option of accessing CIR data bases in Asia, USA or Australia for the issuance of Profiles, Data Sheets, Mail Outs of your Enterprise investment opportunity, which directs the Investor to your registered Profile. These Markets are highly regulated and disciplined with thier affairs and conduct governed under Government Regulation. Internet Broadcasting globally to all countries of Enterprises has to be confined to strict parameters. The nature of this Global Broadcasting means all new Enterprises and Investors internationlly can participate in the market activity via a Market Operator. Securities which can be promoted on markets such as the Enterprise Market include Stocks, Shares, Units, Bills, Bonds, Debentures, Equity Rights, Options, Invoice Reselling, Equitable Interests, Derivatives, Forward Sell Contracts, Futures, Hybrid Debt or Equity Instruments and many others from multiples of $50,000 to a ceiling of 5,000,000 AUD. All currency type deals can be promoted in USD, DM, SF, UKp, Euro, etc. Interested parties need to be Subscribers to view Enterprise Profiles and be registered as Buyers or Sellers for contact, unless you go through a Market Maker. Capital raising enterprises need to lodge a Business Plan with a Primary Adviser or Adviser and preferably have third party certification from a Lawyer, Auditor, Stock Broker ("Sponsors") who in essence write an opinion of possible discrepencies in your business plan as a warning to potential Investors, however, not all Enterprises decide to become certified but rather rest on the merits of their Business Plan. The Market itself is not the Golden Goose that laid the Golden Egg, more is required from Entrant Corporations to raise capital, namely mass Investor exposure from a CIR database is needed to stimulate investor awareness of your project and enterprise. |
Investors are seeking "Credit Worthy" Enterprises to invest in, providing they have excellent returns, surety of capital protection, and a clear exit mechanisim to recover their principal investment, good corporate governance and accountability of management. Successful Enterprises share, after all 49% of your company is a dead loss as far as control goes, so why not capitalize 20-30-40% or even 50% and get some real cash into the Enterprise. Most companies can be diluted in their share base over 50% without losing control, since most shareholders rarely vote in one uniform block. After all the lack of willingness to 'share' demonstrates an improper attitude, "he who makes the most sense is usually in control at the time" regardless of equity or directorships. CIR recommends that a Merchant Banker or Venture Capitalist should be involved to document and regulate the Investment strategy for Investor comfort and assurance, including the orderly recording of securities, tracking, registration, movement, recovery, and corporate discipline. CIR can provide assistance to address these issues for both Seller and Buyer. Since CIR comes under certain exemptions of Securities Legislation, this means even Foreign Enterprises and Corporations can raise Investor awareness and capital by becoming registered on the CIR Capital Market Register ("CIR Bulletin Board"). Effectively this allows CIR to promote your Enterprise to a wide (global) network of Investors without the Enterprise or its Director breaching various anti-soliciting securities hawking legislation in your Country. CIR can also mail out 500, 1000, 10,000 or even 100,000 data sheets or profiles of your Enterprises new investment potential in order to identify only those serious Investors. CIR provides many foreign Corporations 'legislation clearance' and a 'safe refuge' when it comes to exposure. For more information see the CIR BULLETIN BOARD. Successful capital raising takes some time, the Enterprise needs to become prepared, many then will want to be registered on a Capital Market for at least 90 to 180 days to consistantly create Investor awareness. Depending on your industry it may take 30 days or 90 days, prehaps longer. Many will probally change thier business parameters during this time, hence the SME will need to update their profile. This is easy with CIR since all Enterprises should produce a quarterly report to reflect changes in their operations. Often Investors will take at least 30-60 days to review and investigate what you have to offer. Remember the sooner you get on a Market the better since it send strong signals that your Enterprise has come of age. CIR: "Your Market Maker" |
