                           ASSOCIATIONS INCORPORATION ACT 1981 - SCHEDULE 3

                           RULES AND CONSTITUTION OF HAWTHORN ARTISTS SOCIETY

 

          1 . The name of the incorporated association is Hawthorn Artists Society ( hereinafter called   " the    Society") .

          2 . The objects for which the Society is established are : -

                     (i) To encourage and foster all types of visual art including ( but not limiting the
                       generality   thereof ) painting,   drawing , etching , sculpture, decoration, architecture
                       and all ancillary and allied arts and every branch thereof )  which are authorized copies,
                       original and creative. 

                    (ii) To arrange exhibitions of works of art, provide facilities for meetings, discussions and all
                       other forms of activity   which will assist both part-time and full-time artists, and to enable
                       them to meet socially to bring their work   before the public and to improve the standard of
                       work among individual artist members of the Society .

                   (iii)  To establish, form, extend and maintain a library and collection of articles and things
                       pertaining to or of interest in  connection with art.

                  ( vii ) Provided that in case the Society shall take or hold any property which may be subject to any
                    trusts the   Society shall only deal with the same in such manner as is allowed by  law having regard to such trusts.   
                                                                                                                                                         

                    (iv)  To encourage young and adult painters and artists and to establish and maintain an art gallery,   
                      art centre and school within   he City of Hawthorn or the vicinity thereof or within such other area as            
                      the Society shall from time to time decide.

And solely for the purpose of carrying out the foregoing objects and not otherwise the Society has power :

(v) To co-operate with other groups or societies with similar interests and amalgamate with or acquire the
business of any company or association having its objects similar to those of the Society and whose
memorandum of association prohibits the division of its income and property amongst its members.

(vi) To acquire by purchase taking on lease or hire or otherwise howsoever lands and buildings and all
other property real and personal which the Society for the purposes thereof may from time to time think
proper to acquire and which may lawfully be held by it; and to resell under lease or sublet surrender turn
to account hold manage improve exchange mortgage charge assign or dispose of such property or any
part thereof or any property acquired under subdivision ( 1) of this paragraph and to erect maintain and
improve upon any lands of the Society any buildings or building for the purposes of the Society and to
alter or add to any building or buildings erected upon any such lands and provide the same with all proper
and necessary furniture fittings apparatus appliances conveniences and accommodations, and from time
to time to let on lease or otherwise all or any such land or buildings or any part thereof.  

(vii) Provided that in case the Society shall take or hold  any property which may be subjected to any trusts
the Society shall only deal with the same in such a manner as is allowed by law having regard to such trusts.
