Creative Services Agreement With WebsiteXpress

1. I am an Independent Contractor and, from time to time, I agree to perform creative arts projects (as examples: copywriting, graphics, custom animations, and photography, etc.) for WebsiteXpress, a website creation firm.

2. Before beginning any project, the parties shall agree on the scope of a particular project, based upon a written proposal and esitmate provided by the Independent Contractor.

3. Upon written approval by either John or Jacinthe Alquist, co-owners of WebsiteXpress, the Independent Contractor shall proceed to execute the project work involved. An Independent Contractor cannot--under any circumstance--submit an invoice for any higher amount than has been approved, unless the Independent Contractor has resubmitted a revised written proposal AND has received written approval of John or Jacinthe Alquist.

4. An invoice shall be submitted upon completion of the project work, and it shall be paid within five business days after submission.

5. It is agreed that the creative work submitted becomes the property of the particular client of WebsiteXpress.

6. The Independent Contractor acknowledges that he/she is not an employee of WebsiteXpress. Therefore, he/she is free to pursue any and all types of employment and self-employment, and he/she is responsible for his/her own accounting and tax matters, as WebsiteXpress shall not withhold any funds for taxes, as the Independent Contractor is not an employee.

7. This contract is written under the precepts of North Carolina state law and, in the event that any future dispute shall arise, North Carolina shall be Choice of Law.

8. This contract continues in effect indefinitely, unless either party-- by giving 30 days advance written notice--cancels it.
